By accessing clickdudes.com, applying to our partner program, or using the Partner Portal, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

Click Dudes, Inc. ("Click Dudes," "we," "us") operates a publisher monetization and partnership platform, connecting web, app and CTV publishers to a network of monetization technologies and premium demand, and enabling agencies, professionals and individuals to refer qualified publisher opportunities.

Our services include publisher monetization support (such as evaluating properties for Google AdX, header bidding and related technologies) and a partner-referral program operated through the Partner Portal.

For publishers, we evaluate submitted properties against our eligibility criteria and, where appropriate, help connect the property to a suitable monetization-partner route. Acceptance and specific commercial terms are governed by the individual agreement offered to that publisher.

For partners, our services let you submit qualified publisher opportunities, track their progress through review and onboarding, and follow eligible referral commissions in the Partner Portal, subject to your approved partner agreement.

You must be able to form a binding contract to use our services, and must provide accurate information about yourself, your organization, and any publisher properties you submit. We may accept or decline any application at our discretion.

If you are granted Partner Portal access, you are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us promptly of any suspected unauthorized use.

You represent that all information you submit — including publisher details, traffic estimates, and ownership or referral relationships — is accurate and not misleading. Submitting false or materially incomplete information may result in rejection or removal of a publisher opportunity and suspension of your partner account.

Where a submitted publisher relies on Google Ad Manager or related Google advertising products, that publisher must maintain a compliant, active account in good standing and must comply with applicable Google Publisher Policies as a condition of eligibility.

Eligible publisher properties must be genuine web, app or CTV properties with original, advertiser-friendly content, explainable and legitimate traffic sources, and no active serious policy restrictions, as further described in our published eligibility criteria.

Publisher properties must not rely on artificial, incentivized, or otherwise non-genuine traffic. We may request supporting information about a property's traffic sources during review.

Publishers and the partners who refer them must not engage in or facilitate invalid traffic, including sophisticated invalid traffic (SIVT), click fraud, or any other activity intended to artificially inflate impressions, clicks or engagement.

Publisher properties must not host content that is illegal, infringing, adult, hateful, violent, or otherwise inconsistent with generally accepted advertiser-friendly content standards or applicable platform policies.

As a partner, you are responsible for the accuracy of publisher opportunities you submit, for only referring properties you have a good-faith basis to believe are genuine and eligible, and for complying with these Terms and your approved partner agreement.

Publishers are responsible for maintaining eligibility on an ongoing basis, cooperating with reasonable review requests, and complying with the policies of any monetization partner or advertising platform used on their property.

Click Dudes works with a network of premium monetization and technology partners, which may include Google Certified Publishing Partners. Where a publisher opportunity is routed to such a partner, that partner's own terms and requirements will also apply to the resulting relationship.

Submitting a partner application or a publisher opportunity does not guarantee approval, onboarding, or activation. Click Dudes and our monetization partners evaluate each submission individually against applicable eligibility criteria.

We do not guarantee any specific level of publisher revenue, fill rate, RPM, CPM, or partner commission. Performance figures referenced on our website are illustrative or historical and are not a promise of future results.

Publisher revenue-share terms vary by publisher, property, monetization partner, inventory and approval, and are set out in the individual agreement offered to that publisher. Example structures shown on our website are illustrative only and are not a universal or guaranteed offer.

Eligible partners may earn a referral commission of up to the maximum percentage published on our Become a Partner page, calculated from Click Dudes' eligible net earnings attributable to the referred publisher, subject to the specific rate and conditions in your approved partner agreement. This rate is negotiated per partner and is not automatic or identical for every applicant.

Commission and revenue figures may be adjusted for invalid traffic, policy violations, advertiser chargebacks, refunds, or corrections identified after initial reporting. Adjustments will be reflected in subsequent Partner Portal reporting and payments.

Eligible payments are processed on the payout cycle stated in your approved agreement and reflected in the Partner Portal (for example, a NET-45 cycle), measured from the close of the relevant reporting period.

Where a minimum payout threshold applies under your agreement, eligible balances below that threshold will roll over to the next payment cycle until the threshold is met.

Where publisher or partner payments are described using NET terminology (for example, NET-45), this refers to the number of days after the close of a reporting period within which payment is issued, as set out in the applicable agreement.

These Terms work alongside any individual publisher or partner agreement issued to you. Where a conflict exists between these Terms and a signed individual agreement, the individual agreement controls for the matters it specifically addresses.

Non-public information shared with you through the Partner Portal or in connection with your partner relationship — including commercial terms, upstream partner details, and platform functionality — should be treated as confidential and not disclosed to third parties without our consent.

The Click Dudes name, logo, website and Partner Portal, and all associated content and technology, are owned by Click Dudes or our licensors. Nothing in these Terms grants you rights to our intellectual property except as needed to use our services as intended.

You agree to use our website and Partner Portal only for lawful purposes consistent with these Terms, and not to interfere with the proper operation of our services or attempt to access data or systems you are not authorized to access.

Prohibited conduct includes submitting fraudulent or duplicate publisher data, misrepresenting your relationship to a publisher, attempting to manipulate traffic or reporting, and any conduct that violates applicable law or third-party rights.

We may suspend or terminate your Partner Portal access or partner relationship, with or without notice, for breach of these Terms, suspected fraud or invalid traffic, prolonged inactivity, or as required by a monetization partner's policies. You may also request to close your account at any time.

Our services may reference or integrate with third-party platforms, including Google products and other monetization or communication tools. We are not responsible for the availability or performance of third-party services outside our control.

Our website and Partner Portal are provided on an "as is" and "as available" basis, without warranties of any kind, express or implied, to the fullest extent permitted by law.

To the fullest extent permitted by law, Click Dudes will not be liable for indirect, incidental, or consequential damages, or for lost revenue, arising from your use of our website, Partner Portal, or services, including interruptions caused by third-party platforms outside our reasonable control.

You agree to indemnify and hold Click Dudes harmless from claims, damages, or expenses arising from your breach of these Terms, misuse of our services, or the inaccuracy of information you submit.

The governing law and dispute-resolution provisions applicable to these Terms will be confirmed following legal review and added here prior to final publication.

We may update these Terms from time to time. Material changes will be reflected in the "Last Updated" date at the top of this page, and continued use of our services after changes take effect constitutes acceptance of the revised Terms.
